1. End User License Agreement (EULA)

SubWise is governed by Apple's Licensed Application End User License Agreement. This agreement defines the terms under which you may use SubWise on your iOS device.

2. Purchase Terms

2.1 Pro Features

SubWise offers Pro features through a one-time purchase with the following terms:

• Pro Features: Unlimited subscriptions and advanced analytics
• Free Tier Limit: Maximum of 8 subscriptions without Pro upgrade
• Purchase Type: One-time payment for lifetime access to Pro features
• Payment: Charged once to your Apple ID account through the App Store
• No Recurring Charges: No automatic renewals or ongoing subscription fees

2.2 Purchase Management

• Lifetime Access: Once purchased, Pro features are yours permanently with no recurring fees
• Device Transfer: Pro purchase can be restored on any device using the same Apple ID
• Refunds: Refund requests are governed by Apple's standard refund policy and must be made within the eligible period
• Restoration: Restore your Pro purchase through the app's Settings Page at any time

2.3 Purchase Availability

• Pro features are available for purchase through Apple's App Store in-app purchase system
• Pricing may vary by region based on App Store regional pricing
• We reserve the right to offer promotional pricing or discounts at our discretion

3. App Usage Terms

3.1 Permitted Use

• SubWise is for personal subscription management
• Track and manage your own subscriptions and services
• Use notification features for renewal reminders

3.2 Prohibited Use

• Do not use SubWise for illegal activities
• Do not attempt to reverse engineer or modify the app
• Do not use the app to track others' subscriptions without permission
• Do not attempt to bypass Pro subscription limitations

4. Data and Privacy

• Local Storage: All data is stored locally on your device
• No Data Collection: We do not collect or transmit your personal data

• Data Ownership: You own all data you input into the app
• Data Control: Delete your data anytime through app settings

5. Intellectual Property

• App Ownership: SubWise is owned and developed by EmberLabs
• License: You receive a license to use the app, not ownership
• Trademarks: SubWise and EmberLabs are trademarks of EmberLabs
• User Data: You retain ownership of all data you create in the app

6. Disclaimer of Warranties

SubWise is provided "as is" without warranties of any kind. While we strive to provide a reliable service, we cannot guarantee:

• Uninterrupted or error-free operation
• Accuracy of subscription tracking or calculations
• Compatibility with all devices or iOS versions
• Recovery of lost data (always backup important information)

7. Limitation of Liability

To the maximum extent permitted by applicable law, EmberLabs' liability is limited as follows:

• No Indirect Damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Liability Cap: Our total liability is limited to the amount paid for the Pro purchase.
• Data Loss: We are not responsible for data loss due to device issues, user actions, or technical failures
• Third-Party Actions: We are not liable for Apple's actions regarding payments, App Store availability, or policy changes
• User Responsibility: Users are responsible for maintaining their own data backups and device security

Note: This limitation of liability does not affect your statutory consumer rights where prohibited by applicable law.

8. App Store Terms

Your use of SubWise is also governed by:

• App Store Terms: Apple's App Store Terms and Conditions
• Payment Terms: Apple's payment processing terms
• Download Rules: Apple's app distribution policies
• Device Terms: Your device manufacturer's terms of use

9. Updates and Changes

• App Updates: We may release updates to improve functionality, which will be available to all Pro purchasers at no additional cost
• Terms Changes: We may update these terms with notice
• Feature Changes: Pro features may be added or modified. New features will be available to existing Pro purchasers
• Pricing Changes: Purchase pricing may change in the future, but will not affect existing Pro purchasers

10. Termination

• User Termination: Delete the app to terminate your license
• Pro Purchase: Pro features remain accessible even after app deletion and can be restored upon reinstallation
• Data Deletion: Uninstalling removes all local data but does not affect your Pro purchase status
• Violation Termination: We may terminate access for terms violations, subject to applicable consumer protection laws

• The laws of England and Wales (for EmberLabs as a UK entity)

11.2 Dispute Resolution

• Primary Resolution: Contact us first to resolve disputes amicably
• Jurisdiction: Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales
• Consumer Rights: This does not affect your statutory consumer rights
• EU/EEA Users: EU consumers may access the European Commission's online dispute resolution platform

12. Force Majeure

EmberLabs shall not be liable for any failure or delay in performance under these terms due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather conditions
• Government actions, regulations, or legal restrictions
• Internet or telecommunications failures
• Apple App Store outages or policy changes
• Other circumstances beyond our reasonable control

13. Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely achieves the intended economic effect.
